Terms of Service

Last updated: 2026-10-30

These terms govern productized engineering services provided by UnderUndre (classification: EU NACE Rev. 2, code 62.01).

1. Fixed scope

Every engagement has a strictly fixed scope agreed in writing before kickoff. Work beyond the agreed scope is estimated separately and is not included in the fixed price.

2. Escrow-protected payments

Payments run through a third-party escrow arrangement: Upwork Direct Contracts (5% escrow fee paid by contractor; client: 0% via US ACH or standard card acquiring 3–5%). Funds are held in escrow until milestone acceptance; release happens after your confirmation of the deliverable.

3. Intellectual Property (Split-IP Model)

The foundational platform and architectural modules (UnderUndre Core Engine) remain the exclusive intellectual property of the Contractor. The Client is granted a perpetual, irrevocable, non-exclusive license to operate the Core Engine within the deployed system. 100% exclusive intellectual property rights to bespoke customizations, proprietary DDL schemas, branding, content, and business logic are assigned to the Client upon full payment of the corresponding milestone, in accordance with applicable intellectual-property law (in the EU — Directive 2009/24/EC). Contractor activity classification: EU NACE Rev. 2, code 62.01 (computer programming); the classification is descriptive and is not a basis for rights assignment.

4. Warranty period

Delivered artifacts carry a 7-day bugfix warranty (P1/P2 SLA: critical — within 24 hours, significant — within 72 hours). The warranty does not cover changed requirements.

5. Limitation of liability

The contractor's liability is capped at the fees actually received in the preceding 30 days. Lost profits are not recoverable.

6. Independent parties

The parties act as independent contractors. The contractor determines the method of performance within the agreed scope.
